1. Acceptance of Terms

By accessing and using the Core Dental Consultants website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Description of Services

Core Dental Consultants provides consulting services to dental practice owners and prospective buyers, including:

• Practice evaluation and analysis
• Practice health checks and profitability reviews
• Operational consulting and implementation support
• Strategic planning and guidance

3. Engagement Terms

Initial Engagement

Our initial consulting engagements are typically 6 months in duration and require an upfront retainer payment plus monthly payments as outlined in your service agreement.

Month-to-Month Continuation

After the initial 6-month engagement, clients may continue on a month-to-month basis. Either party may terminate the month-to-month arrangement with 30 days' written notice.

4. Payment Terms

• All fees must be paid as outlined in your service agreement
• Retainer fees are non-refundable once services have commenced
• Monthly payments are due on the first of each month
• Late payments may result in suspension of services

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your practice
• Provide requested documents in a timely manner
• Participate in scheduled calls and meetings
• Implement recommended changes (understanding that implementation is at your discretion)
• Maintain confidentiality of proprietary methods and materials

6. Confidentiality

Both parties agree to maintain the confidentiality of all information shared during the consulting engagement. We will not disclose your practice information to any third party without your explicit consent.

7. No Guarantees

While we provide expert guidance based on our experience, we cannot guarantee specific results or outcomes. Practice success depends on many factors, including but not limited to market conditions, implementation of recommendations, and circumstances beyond our control.

8. Limitation of Liability

Core Dental Consultants and its founders shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you for our services.

9. Professional Advice Disclaimer

Our consulting services provide business and operational advice. We do not provide legal, accounting, or tax advice. You should consult with appropriate licensed professionals for such matters.

10. Intellectual Property

All materials, tools, templates, and methodologies provided by Core Dental Consultants remain our intellectual property. You may use them for your practice but may not reproduce, distribute, or sell them to others.

11. Termination

Either party may terminate the consulting relationship for cause with written notice. Upon termination:

• All outstanding fees become immediately due
• Both parties must return or destroy confidential information
• Confidentiality obligations survive termination

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [STATE TO BE DETERMINED], without regard to its conflict of law provisions.

13. Changes to Terms
